Terms of Service
1. These Terms
These Terms of Service (“Terms”) are an agreement between you and Migrate Mate Inc., a Delaware corporation (“Migrate Mate”, “we”, “us”), which operates Rotto. They apply to rotto.com and to Rotto’s products: its candidate search, Candidate Outreach, Contact Lookup, and our API and connections for AI assistants (together, “Rotto”).
By creating an account, starting a trial, subscribing, or otherwise using Rotto, you agree to these Terms. If you use Rotto for a company, you agree to them on the company’s behalf and confirm you have authority to do so, and “you” means the company. Rotto is a business product: you must be at least 18 years old and use it for your work.
Our Privacy Policy explains how we handle personal information, including the data we receive if you connect a Google account.
2. Your Account
- Signing in. Rotto uses one-time codes sent to your email address instead of passwords. Keep access to that email address secure: anyone who can read it can sign in as you.
- Accurate information. Give us accurate account and billing information, and keep it up to date.
- Teams and seats. If you invite teammates, each seat is for one named person. You are responsible for everything done under your account and your teammates’ seats.
- Tell us about misuse. If you think someone has accessed your account without permission, email support@rotto.com right away.
3. Plans, Trials, Credits and Payment
- Subscriptions. Paid plans are billed in advance for each billing period and renew automatically until you cancel. Prices and what each plan includes are shown before you pay. Additional seats are charged as shown before you add them.
- Free trials. If your plan starts with a free trial, it becomes a paid subscription when the trial ends, and we charge the card you gave us, unless you cancel before then.
- Cancelling. You can cancel at any time from your account settings. If you cancel a paid subscription, you keep access until the end of the period you have paid for. If you cancel during a free trial, access ends when you cancel.
- Credits. Contact details, such as email addresses and phone numbers, are paid for with credits from your account balance. Each is charged only when we find it: a lookup that finds nothing costs nothing. Credits included with a paid plan are for the month they are given and do not roll over. Credits have no cash value and cannot be transferred.
- Top-ups. You can add credits by charging the card on your account. If you agreed to automatic top-ups when you subscribed, we add credits and charge that card whenever your balance falls below the level you set, up to any monthly limit you set. You can change or turn off automatic top-ups in your settings.
- Refunds. Payments are non-refundable, except where the law requires otherwise or we agree in writing. If you were charged in error, contact support@rotto.com and we will put it right.
- Changes to prices. We may change our prices. We will tell you at least 30 days before a change applies to your subscription, and it takes effect from your next billing period.
- Taxes and failed payments. Prices do not include taxes unless stated, and you are responsible for any that apply. If a payment fails, or a charge is disputed, we may pause your access until it is resolved.
- Billing questions. If you think a charge is wrong, tell us within 60 days of the charge so we can look into it.
Payments are processed by our payment processor, under its own terms.
4. Using Candidate Data Responsibly
Rotto gives you information about people: their professional profiles and, when you ask for them, their contact details. You may use it only to recruit, that is, to find, evaluate and contact people about job opportunities. When you do, you must:
- Comply with every law that applies to how you contact people and handle their information, including anti-spam laws (such as CAN-SPAM and CASL), laws on calls and text messages (such as the TCPA), and privacy laws (such as the GDPR, the UK GDPR and U.S. state privacy laws).
- Give people any notice the law requires when you contact them, such as where you got their information.
- Stop contacting anyone who asks you to, and honor any request from a person to delete the information about them that you took from Rotto.
- Not use the information to discriminate unlawfully against anyone, including on the basis of race, color, religion, sex, sexual orientation, gender identity, national origin, age, disability or any other characteristic protected by law.
- Keep information you export or copy from Rotto secure, and delete it when you no longer need it for recruiting.
Rotto is not a consumer reporting agency. Its information has not been collected for, and must not be used as, a consumer report under the Fair Credit Reporting Act or similar laws. Do not use it to decide anyone’s eligibility for employment, credit, insurance, housing or any other purpose those laws cover, or for background checks.
5. Things You Must Not Do
You must not, and must not help anyone else to:
- Sell, license or publish information from Rotto, or use it to build a database or product of your own. You may share it with the people you are recruiting with or for, such as hiring managers and clients, for the roles you are filling.
- Scrape, crawl or copy Rotto in bulk by automated means, except through our API within its limits, or get around any limit we set on searches, exports, lookups or sending.
- Use information or output from Rotto to train artificial intelligence or machine learning models.
- Send spam, misleading messages, or messages that hide who you are.
- Upload information you do not have the right to use, or anything unlawful, harmful or malicious.
- Harass, stalk or harm anyone, or use Rotto to find people for any purpose other than recruiting.
- Share your account or seat, or resell access to Rotto.
- Probe, disrupt or try to break the security of Rotto, or reverse engineer it.
6. Candidate Outreach and Your Google Account
- Your emails, your responsibility. Candidate Outreach sends emails from your own Gmail account to the people you choose. You are the sender: you decide who to email and approve what is sent, and you are responsible for your emails and for having a lawful basis to send them.
- What you authorize. By connecting your Google account, you authorize Rotto to send the emails you approve, to read replies and bounce notices on the conversations it starts, to label those conversations in your Gmail, and, if you allow it, to see when you are free and add booked calls to your calendar, as our Privacy Policy describes. You can disconnect at any time.
- Google’s terms. Your use of Gmail and Google Calendar remains subject to Google’s own terms and policies.
- Sending limits. Rotto spaces out and limits the emails it sends to protect your account’s reputation, and we may pause sending if we see signs of abuse, many bounces, or a risk to your account.
7. Contact Lookup, the API and AI Assistants
- Keys and connections. Keep your API keys secret. You are responsible for everything done with your keys and with the apps and AI assistants you connect to your account, and for what they do with the information they receive.
- Limits. We may set limits on how often and how much you can use the API, and change them.
8. Accuracy and AI Features
Profiles and contact details come from public sources, from people themselves and from third-party data providers. People change jobs, addresses and numbers, so we cannot promise that any information is accurate, complete or current.
Some features use artificial intelligence, such as search matching, summaries, email drafts and suggested answers. AI can be wrong. Its output is a suggestion, not a recommendation or decision: review it before you rely on it or send it, and do not use it as the only basis for a decision about anyone. Hiring decisions are yours, and you are responsible for complying with laws that apply to tools used in hiring, such as bias audit and notice requirements.
9. Your Content
You own what you put into Rotto, such as your candidate lists, notes, searches and emails (“Your Content”). You give us permission to host, process and use Your Content only to provide and improve Rotto for you, and as our Privacy Policy describes. You confirm you have the rights you need to give us that permission.
For personal information in Your Content, you are the controller and we process it on your behalf, as your processor or service provider, to provide Rotto. You are responsible for having a lawful basis to give it to us.
If you send us feedback or suggestions, we may use them without any obligation to you.
10. Our Rights
Rotto, including its software, design, database and content, belongs to Migrate Mate and is protected by law. While you follow these Terms, we give you a limited, non-exclusive, non-transferable right to use Rotto for your recruiting work. We may change, add or remove features over time.
11. Third-Party Services
Rotto works with services run by others, such as Google, our payment processor and our scheduling provider. Their own terms apply to your use of them, and we are not responsible for them.
12. Suspension and Termination
You can stop using Rotto and cancel at any time. We may suspend or end your access if you break these Terms, do not pay, or use Rotto in a way that could harm other people, us or Rotto. Where reasonable, we will tell you first and give you a chance to fix the problem. When your access ends, you must stop using information you obtained from Rotto except as the law allows, and Sections 4, 5 and 8 to 16 continue to apply.
13. Disclaimers
Rotto is provided “as is” and “as available”. To the fullest extent the law allows, we make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement, and we do not promise that Rotto will be uninterrupted or error-free, or that you will hire anyone through it.
14. Limitation of Liability
To the fullest extent the law allows, neither party is liable to the other for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for all claims relating to Rotto or these Terms is limited to the amount you paid us for Rotto in the 12 months before the event that gave rise to the claim. We are not liable for your hiring or other decisions about people, or for what you do with information from Rotto. These limits do not apply where the law does not allow them to.
15. Your Responsibility for Claims
You will defend and indemnify Migrate Mate against claims brought by others, and the losses and costs that result, arising from your use of information from Rotto, your hiring decisions, the emails and messages you send, Your Content, or your breach of these Terms or the law.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute relating to Rotto or these Terms will be brought exclusively in the state or federal courts located in Delaware, and both parties consent to their jurisdiction. Before bringing a claim, please contact support@rotto.com so we can try to resolve it.
17. Changes to These Terms
We may update these Terms from time to time. If we make significant changes, we will notify you via email or through a prominent notice in Rotto at least 14 days before they take effect. If you keep using Rotto after that, you accept the updated Terms.
18. General
These Terms, with our Privacy Policy and anything you agree to at checkout, are the whole agreement between you and us about Rotto. If any part is found unenforceable, the rest still applies. If we do not enforce a part, we have not given up the right to. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. Neither party is responsible for delays caused by events beyond its reasonable control.
